We provide a registered-office address for incorporating a Thai limited company, limited partnership or branch office. The address is a real, staffed office with a building, signage and someone to receive documents — not a floating mailbox. The document set includes the landlord consent letter permitting use of the premises as the registered office, the title or lease evidence the registrar asks for, a location map and photographs of the building and nameplate. How the work proceeds
1.Check whether the business suits a virtual-office address
We ask about the business type, objectives and future licences. If the law requires inspectable premises — a warehouse or a clinic, for instance — we say at the outset that a virtual office will not work and propose alternatives, so you do not lose time and fees.
2.Reserve the name and draft the memorandum
We reserve the name through the DBD system, then draft the memorandum stating capital, shares, objectives and the registered office at our virtual-office address. Reserved names expire under DBD rules, so the work is sequenced to file within that window.
3.Issue the consent letter and premises evidence
The authorised person signs the consent letter for use of the premises as the registered office, attaching the title or lease evidence the registrar requests, plus a location map and photographs showing the house number and nameplate. This is where applications most often draw a request for more documents, so we prepare it fully at the first pass.
4.Hold the statutory meeting and file
We convene the statutory meeting to appoint directors, fix signing authority and appoint the auditor, then file the registration with DBD by counter or e-Registration. Government fees follow DBD's published rates and are quoted separately from our service fee.
5.Collect the certificate and set up official-mail handling
Once registration is accepted we collect the certificate, shareholder list and seal (if made), install the company nameplate at the address, and switch on official-mail handling: everything arriving is scanned and reported to your contact so no Revenue Department letter or court summons is missed.
Statutory deadlines
- DBD name reservations expire under DBD rules; the registration must be filed within that period
- A registered company must notify the registrar of an office relocation within the period set by the Civil and Commercial Code
- Changes of director or signing authority must be registered within DBD's prescribed period
- Accounts must be kept from the registration date under the Accounting Act B.E. 2523
- Annual financial statements and shareholder lists are filed on DBD's schedule
Before you decide
- A virtual office must be genuinely contactable. If an officer visits and finds no nameplate or no one to receive documents, registration and VAT refunds can be affected
- Sharing an address with many companies is not unlawful in itself, but officers may request more documents and scrutinise the file more closely
- Overly broad registered objectives invite later clarification requests; state the business you will actually carry on
- With foreign shareholders, assess the Foreign Business Act B.E. 2542 before fixing the shareholding split
- Some post-registration licences require inspectable premises, which a virtual office may not satisfy
Frequently asked questions
Can a company really be registered at a virtual office?
Yes, where the address is a real, contactable place with a nameplate and someone to receive documents, and the premises holder gives written consent to its use as the registered office. The law does not require staff to sit there daily; it requires a contactable address, and the registrar may ask for further evidence. Acceptance remains a case-by-case exercise of the registrar's discretion.
How is this different from renting a mailbox?
A mailbox offers nothing to inspect, no nameplate and usually no identifiable recipient — exactly what causes registration or VAT applications to fail. Our service is a real address with a building, signage and a recipient during business hours, plus the premises evidence the registrar relies on.
How much registered capital is needed with a virtual office?
The law sets no different minimum because the address is a virtual office. Capital depends on the business, the shareholders and collateral needs such as visas or work permits, which carry their own capital and Thai-staff ratio criteria under the responsible agencies' rules. We map those effects before a figure is fixed.
Do I have to travel to Bangkok or Khon Kaen myself?
It depends on the filing route. With documents signed in advance and signatures properly certified, many matters proceed without travel. Some steps do require presence — banks generally want a director in person to open the corporate account. We tell you in advance which steps those are.
What if we later move to our own office?
The registered address must be amended with the registrar, and the change notified to the Revenue Department if VAT-registered, plus the Social Security Office and the bank. We prepare and file the full set so there is no window in which official mail goes to the wrong place.
Can several companies use the same address?
Yes — it is ordinary for a leased office building — but the unit used must be identified, each company must have its nameplate, and consent letters must be issued separately. Officers may scrutinise addresses hosting many companies more closely, so we keep documents and signage verifiable.
Can a 100% foreign-owned company use a virtual office?
Address and shareholding are separate questions. A majority foreign-owned company must consider whether its business falls on the Foreign Business Act B.E. 2542 schedules requiring a licence, and some licensed businesses need real premises. We assess this case by case before starting.
How will we know when official mail arrives?
Incoming items are logged and scanned during business hours and reported to the contact you nominate. Time-critical items such as Revenue Department summonses or court documents are flagged first; originals are held for collection or forwarded as agreed.
How is the fee quoted?
In writing, against the agreed scope: the address term, expected mail volume and which registration work we handle. DBD's government fees are separate and follow its published rates. We do not publish a fixed price before knowing the actual scope.
What happens if the registrar asks for more documents?
We prepare the additional documents and file them within the registrar's deadline. Where an explanation about the premises is needed, we draft it with photographs and premises evidence. The decision stays within the registrar's discretion; we make no promise of outcome.
