Joint Venture Structure & Agreements

Choose contractual cooperation or a separately incorporated JV. Review contributions, decision rights, liability and business permissions before signing.

Working with a business partner does not require one universal structure. Contractual cooperation and a jointly owned company differ in contracting, liability and tax treatment. This guide prepares negotiation points and evidence; signing a joint-venture or shareholders’ agreement does not itself create a company or an operating licence.

Identify who contracts and bears project obligations

For contractual cooperation, specify which participant signs with customers, receives payments and carries each work obligation. If a separate company is intended, assess its incorporation, funding and authority. Naming an agreement a JV does not automatically create a separate juristic person.

Document contributions beyond cash

List the money, assets, technology, intellectual property, personnel and resources each participant proposes. Check delivery rights, valuation and use conditions. Distinguish transfers of ownership from temporary licences. Cooperation does not automatically transfer every intellectual property right.

Plan decision rights and deadlock resolution

Discuss budgets, borrowing, signatures, related-party transactions and decisions requiring joint consent. Agree steps for deadlock or failed contributions. Share allocation and board authority must fit the formation records. Do not assume a shareholders’ agreement changes registered authority or binds outsiders in every case.

Foreign participation still needs business-permission review

Prepare nationalities, ownership chains, funding and the actual activities of the operator. Cooperating with a Thai participant does not universally exempt foreign-business requirements. Do not use nominees. Assess any FBL, FBC or sector licence before starting controlled work, rather than relying on a JV label.

Review tax status, receipts and distributions

Have the tax contact assess the agreement and actual operations. Some joint-venture arrangements may have their own tax status and obligations without a newly incorporated company. Distinguish profit distributions, service charges, capital returns and expense responsibility. Invoices and accounting should identify the actual transaction parties.

Agree exit arrangements and the requested service scope

Address project duration, withdrawal, share transfers, debt settlement, data return and continuing intellectual property use. Provide an existing draft or term summary for review. Request a written quotation separating contract work, incorporation, permissions and tax tasks; do not assume a shareholders’ agreement is included in every engagement.

Questions before preparing an application

Does signing a JV agreement create a new company?
Not automatically. Distinguish contractual cooperation from a separately incorporated company and identify who is responsible for customer contracts.
Can a JV have tax obligations without incorporation?
Yes. Review the agreement and operations under tax law rather than deciding solely from the absence of a new company certificate.
Does a Thai partner eliminate foreign-business checks?
No universal exemption follows. Review operator status, ownership and actual activities, and do not use nominee arrangements.
Does a shareholders’ agreement replace formation documents?
No. Separate investor arrangements from incorporation records and registered authority, and assess enforceability of the proposed terms.
What should I prepare for a cooperation review?
Provide the participants, project summary, contributions, customer contracting parties, payment flows, decision rights and any available agreement draft.
Are agreements and licences included in the service?
Confirm the written quotation. Separate negotiation, contract review or drafting, registration, permissions and tax tasks rather than assuming all work is included.
