Company Setup under the Japan–Thailand EPA (JTEPA)

the Japan–Thailand EPA (JTEPA) (in force since 2007) may let Japanese investors hold more shares in some activities than usual, but only within the schedule and conditions, and a Foreign Business Certificate (FBC) is generally needed before operating.

Free trade agreements do not waive foreign-business law entirely; rights apply only to listed activities, ownership levels and conditions. This page checks whether your project fits the commitments and does not assure entitlement.

Check the schedule of commitments first

Services and investment commitments are listed by sector with ownership caps and conditions such as directors, minimum capital or employment. Check the official agreement text and schedule, not undated summaries.

Who counts as an investor

The agreement defines Japanese investors or juridical persons, for example incorporation and substantive business in that country. Shell entities may not qualify. Prepare the ownership chain to the controller.

Rights are used through an FBC

Treaty rights are generally exercised by obtaining a Foreign Business Certificate from the Department of Business Development, with evidence of nationality and activity. Do not start operating before it is issued.

Activities outside the commitments

If the activity is not covered, consider other routes such as a Foreign Business Licence, BOI promotion or a genuine Thai-majority structure. Do not use nominees.

Activity licences are still required

Ownership rights do not replace activity licences, work permits or VAT registration. Review them separately.

Overseas documents

Parent certificates, nationality evidence and powers of attorney may need notarisation and certification acceptable to Thai agencies, with Thai translation. Allow time for this.

Questions before preparing an application

Can Japanese investors own 100%?
It depends on the sector in the schedule; some have caps or conditions. Check activity by activity.
Do treaty rights need any filing?
Generally a Foreign Business Certificate is required first.
Can the parent be incorporated in a third country?
Check the investor definition; entities without real incorporation or operations in the partner country may not qualify.
What if my activity is not covered?
Consider an FBL, BOI or another lawful structure.
What should I prepare?
Shareholding chart, nationality evidence, business description and Thai operating plan.
How can I obtain the service charges?
Send your business details for scope review and request a written quotation. Official fees are shown separately as published by the agency.
