Foreign Branch Office in Thailand

Review the foreign parent, representative authority and Thai activities before establishing a branch. A branch is not a new Thai subsidiary or unrestricted business permission.

A branch operates as part of the foreign legal entity, rather than as a separately incorporated Thai subsidiary. Parent liability, local authority and actual operations need assessment together. If the plan involves orders, contracts or services for customers, review activity requirements before committing to premises or starting sales. The label branch office does not answer the licensing question.

Connect the branch to the parent legal entity

Prepare the parent name, jurisdiction, registration details and current status evidence. Explain why a branch is preferred to a subsidiary. Contracts and liabilities arising through the branch require assessment with the parent; do not describe a branch as offering the same separation of liability as a newly incorporated company.

Define what the local representative can sign

Review appointment and authority documents from the parent. Distinguish filing authority from banking, contracting and personnel responsibilities. A power of attorney for submissions does not necessarily authorise every transaction. Signatories and granted powers must be consistent with the foreign corporate records.

Map revenue before assessing business permissions

Identify who quotes, receives orders, signs customer contracts and receives payment, together with the products and services performed in Thailand. Use these facts to assess foreign business restrictions and sector licences. A registration identifier or branch status does not authorise every activity.

Confirm parent evidence and premises requirements

Start with parent incorporation records, constitutional or authority evidence, representative details, activities and premises rights. Final requirements depend on the relevant filing channel. Check accepted language, copies and certification before commissioning translations. Do not certify every document automatically or rely on an address without genuine usage rights.

Plan accounting, tax and personnel separately

Review tax registration, VAT, receipts and reporting against actual activities with the accounting contact. Keep evidence of parent funding and distinguish it from customer revenue. Visas and work permissions for representatives or employees are separate matters and do not follow merely from establishing the branch.

Specify deliverables before agreeing charges

Send the parent summary, activities, revenue arrangements, representative and premises for review. Request a written quotation distinguishing permission assessment, filings, translation, certification, tax work and official fees. Check exclusions before starting. Approval and a fixed completion date are not guaranteed.

Questions before preparing an application

Is a branch the same as a Thai subsidiary?
No. It operates as part of the foreign legal entity rather than a newly incorporated Thai entity. Assess liability and authority together with the parent.
Can a branch sell every product or service?
Do not assume so. Review activities, revenue, foreign business restrictions and relevant licences before operations begin.
Which parent documents are useful initially?
Send existing corporate and status evidence, authorised signatories, representative details and a summary of activities, revenue and premises. Confirm the final list for the recipient.
Must every foreign record be translated and certified?
No uniform rule should be assumed. Check the recipient’s language, format and certification requirements before selecting the documents actually needed.
Can a foreign representative work immediately?
Do not infer work permission from branch status. Assess the individual’s visa, work permission and actual role separately.
Are tax and accounting services included?
Confirm the written quotation. Separate establishment, licences, translations, tax, accounting and official fees rather than assuming a combined scope.
